1. Scope of application
These Terms of Sale apply to any service ordered from Capsula, unless specific terms are expressly provided in a quote, purchase order or signed contract.
Validation of a quote implies acceptance of these Terms of Sale.
2. Quote, order and start
Each mission is covered by a quote describing scope, deliverables, estimated schedule, working assumptions and price.
Work starts after written validation of the quote and, where applicable, receipt of the deposit.
3. Price, invoicing and payment
Prices are stated in the quote. Payment terms may include a deposit, intermediate milestones and a final balance on delivery.
For professionals, any delay may trigger legal penalties and the fixed recovery indemnity of 40 euros, without prejudice to justified additional costs.
4. Deliverables, validation and revisions
Deliverables are provided according to the stages planned in the quote: scoping, mockups, content, development, integrations, documentation, acceptance testing or production release.
Unless stated otherwise, the client has 7 business days to provide feedback. Without feedback within this timeline, the deliverable may be considered validated.
Included revision cycles are those specified in the quote. Any out-of-scope request may require an additional quote.
5. Client obligations
- Provide the necessary information, access, content, validations and constraints.
- Guarantee the legality of content sent to Capsula.
- Appoint an available decision-making contact.
- Respect feedback timelines to avoid delaying the schedule.
6. Intellectual property
Creations, development, content and deliverables remain Capsula property until full payment of amounts due.
Usage rights transferred to the client are those provided in the quote. Generic building blocks, methods, libraries, reusable components, internal tools and know-how remain Capsula property unless otherwise stated.
7. Corrective warranty, maintenance and changes
A correction period may be provided in the quote for issues directly related to deliverables. Maintenance, hosting, backups, functional changes and ongoing support are offered according to agreed terms.
8. Privacy and security
Confidential information exchanged within a project may not be disclosed without prior agreement. Capsula applies reasonable security measures on access, files, forms, work environments and deliverables.
9. Liability
Capsula is bound by a best-efforts obligation. Its liability cannot be engaged for indirect damages, operating losses, loss of opportunity, data losses attributable to a third party or defects related to elements provided by the client.
Except in case of gross negligence or contrary legal obligation, Capsula’s liability is limited to the amount paid for the relevant service.
10. Termination and force majeure
In case of early termination, services performed, committed or reserved remain due. No delay or non-performance may be blamed in case of force majeure or external event reasonably preventing performance.
11. Applicable law and dispute resolution
The Terms of Sale are governed by French law. In case of disagreement, the parties first seek an amicable solution before any proceedings.
